The M&A Team reports to the CFO of Danone Group. Following the refocus of Danone in 2007 on health with the redemption of Numico, the market leader of baby food and medial nutrition, and the sale of the biscuit business, Danone’s product portfolio has continued to change, both in terms of geographical expansion and sectors.
The M&A Team is split into 2 regional teams:
- One team, based in Paris, covering Europe Middle East & Africa as well as the Americas
- One team, based in Singapore and Bangkok, covering Asia Pacific
About the role:
As a member of the M&A team covering APAC, you will actively participate in the inorganic growth strategy and execution of the Danone Group in the Region.
Main Responsibilities:
1) Strategy and Pipeline management
- Understand the industry with in-depth analysis with regards to Asia Pacific in our categories
- Liaise with the Investment banks to identify potential opportunities.
- Work closely with the Corporate and regional strategy teams to define adequate M&A targets aligned with strategy
2) Financial & Business analysis
- Lead or oversee valuation using multiple methods (DCF, Multiples, precedent transactions)
- Build financial models and scenario analyses
- Assess synergies (topline and bottomline)
- Assess impacts for the Group (ROIC, EPS)
3) Deal Execution
- Manage the end-to-end transaction process including Business case preparation, Deal structuring, negotiations, coordination with internal stakeholders and external advisors (bankers, auditors, consultants, lawyers)
- Co-Lead the Due Diligence process with the M&A Legal team (finance, tax, commercial, Legal, Operations, HR, ESG)
4) Cross-Functional Leadership
- Act as the co-coordinator of the different teams and workstream (Finance, Legal, Tax, Ops,IT, Commercial, HR,...)
- Translate complex information into clear recommendation for top management
5) Negotiating & Closing
- Support negotiations on Enterprise Value, Reps & Warranties, closing conditions, governance in Joint-Ventures
- Ensure the transaction is executed in compliance with internal governance and regulatory requirements
6) Post Merger Integration
- Preparation of integration plans to be handed over to the business teams
- Close cooperation with the business units to ensure operational success and delivery of the business case
To be successful in this role, you will need…
The following technical skills and experience:
• Master's degree in accounting, finance, economics, business or management from top tier schools
• CPA or CFA or similar professional qualification
• 5-10 years of solid M&A deal working experience in Asia with proven track record (Banks, Corporate M&A…) : acquisitions, disposals, JV
• Full investment cycle experience preferred
• Operational finance experience is a plus.
• Overseas working experiences or multinational corporation working experiences
• FMCG / CPG experience is a plus
• Solid technical skills in corporate finance and accounting,
• Strong knowledge in valuation and financial modelling
• Proven ability to communicate with the business units
• Proven ability to establish relations built on high level of trust
• Team leadership and people management
• Experience working collaboratively with all levels of internal staff, external advisors & government officials
• Fluency in English
• Fluency in Mandarin will be a plus
